Terms of Service
1. The agreement
These Terms are an agreement between PROJECT VELAR S.R.L. ("MuseMill", "we", "us"), a Romanian company with its registered office at Bd. Theodor Pallady nr. 4, bl. M2, sc. D, ap. 168, Sector 3, Bucharest, Romania (Trade Register J2021020594403, CUI 45265695), and the business that creates a MuseMill account ("you", the "Customer").
They cover the MuseMill website, web dashboard and mobile apps, and everything they do (together, the "Service"). Our Acceptable Use Policy, Privacy Policy and Data Processing Addendum are part of these Terms.
If you sign up for a business, you confirm you are allowed to accept these Terms for it. People you invite to your workspace use the Service under your account, and you are responsible for what they do in it.
2. Business use only
MuseMill is a professional tool. You may only use it for the purposes of your trade, business, craft or profession. It is not offered to consumers, and by signing up you confirm you are not acting as a consumer. Consumer-protection rules that apply only to consumers (for example the 14-day right of withdrawal under EU law) therefore do not apply.
You must be at least 18 years old to use the Service.
3. What MuseMill does
MuseMill learns your brand from your website and the information you give it, then creates branded social posts (carousels, images and captions), schedules them, and, if you connect your social accounts, publishes them for you. Each plan includes the volume shown on our pricing page when you subscribe (currently seven original carousels a week, adapted for your connected channels).
You decide how involved you are. In review mode nothing is published until you approve it. Autopilot is off unless you turn it on; when it is on, posts are approved and published on your schedule without your review, except posts our checks flag, which wait for you.
TikTok works a little differently. TikTok asks that you see each post and choose who can see it before it goes out, so on TikTok we only publish the posts you approve, with the audience you pick. You can approve a whole week at once. With autopilot on, any TikTok post you haven't approved by its time is sent to your TikTok drafts instead, ready for you to post from the TikTok app.
We improve MuseMill all the time. We may change, add or remove features. If a change materially reduces what you pay for, we will tell you in advance and you may cancel; if you have prepaid for a year, we will refund the unused part.
Some features may be marked "beta" or "preview". They may change or stop and come without any commitments.
4. Your account
Give us accurate information and keep it current. Keep your sign-in methods secure (email codes, Google or Apple sign-in) and tell us at once at support@musemill.ai if you think someone else has accessed your account.
One free trial per business: if your workspace has had a plan before, a new plan starts without a trial. Creating several accounts to get more trials or more free previews is not allowed.
5. Free trial, plans and billing
Free trial. When you start a trial you add a payment card, but you are not charged during the 7 days. When the trial ends, your chosen plan starts automatically and your card is charged (monthly: US$99 per month; yearly: US$828 per year) unless you cancel before the trial ends. We show the date of the first charge before you start, and send a reminder before the trial ends.
Renewal. Paid plans renew automatically at the end of each billing period (each month, or each year) at the then-current price until you cancel. Prices are in US dollars and exclude taxes; where taxes apply, they are added and shown before you pay.
Payment. Payments are processed by Stripe. We never see or store your full card number. You authorise us (through Stripe) to charge your payment method for every renewal and for any taxes.
Failed payments. If a payment fails we retry and email you. While a payment is overdue we pause creating and publishing new posts; your existing content stays available. If payment is still not made after the retries, the subscription ends.
Price changes. We will email you at least 30 days before a price change applies to you. The new price applies from your next renewal after that notice; if you don't agree, cancel before it.
Switching plans. You can switch between monthly and yearly in your billing settings. Upgrades start straight away with a prorated charge; switching from yearly to monthly takes effect when the paid year ends.
Refunds. Fees are non-refundable, and we don't refund partly used periods, except where these Terms say otherwise or the law requires it. If something went wrong on our side, write to us and we will make it right.
6. Cancelling, leaving and taking your data
Cancel online, anytime. In the MuseMill dashboard go to Settings → Billing → Manage billing → Cancel plan, or email support@musemill.ai from your account email. Cancelling stops renewal; you keep access until the end of the period you have paid for (or until the trial ends), and you are not charged again.
Leaving and switching to another provider. You may end your contract at any time with immediate effect (we never require more than two months' notice). We do not charge for leaving. You can export your posts, images, captions, brand profile and schedule from the Service, and we keep your workspace available for at least 30 days after your plan ends so you can retrieve it. If you need help moving your data to another provider, ask us; we will assist without charge. This section gives you at least the rights of the EU Data Act on switching data processing services.
Deleting your account. You can delete your account at any time in the app (Settings → Account → Delete account), on the web dashboard (Settings → Data & privacy → Delete account), or as described on our delete-account page. Deleting also cancels your plan, and is permanent.
7. Your content
"Your Content" is everything you or your team put into MuseMill: your website address and what we read from it, logos, photos, colours, facts about your business, edits, approvals and settings.
You keep all rights to Your Content. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt and display it, and to publish it to the accounts you connect, only to provide and improve the Service for you. The licence ends when Your Content is deleted, except for copies we must keep by law.
You confirm you have the rights and permissions needed for Your Content: you may use the logos, images, names and likenesses in it, the website you give us is yours or you are allowed to act for it, and any customer or patient appearing in it has given the permission the law requires.
We do not use Your Content to train AI models, and we do not sell it.
8. AI-generated posts
MuseMill uses artificial intelligence (currently Google's Gemini and image models) to write captions and create images and designs ("Output"). As between you and us, you own the Output made for your account, and we assign to you any rights we have in it.
Please keep in mind what AI can and can't do:
- Output can be wrong, incomplete or similar to content made for others. Some Output may not be protected by copyright in some countries.
- Our quality and claims checks reduce mistakes but cannot catch everything. Read posts before approving them, and check facts, offers, prices and claims.
- When you approve a post, or turn on autopilot, you are the publisher of that post and responsible for it.
Some laws and platforms require AI-generated or AI-altered images to be labelled (for example the EU AI Act and New York's rules on synthetic performers in advertising, and Meta's and TikTok's AI labels). By default, MuseMill labels posts whose images were made with AI: it turns on TikTok's AI-generated label, and adds a short "Visuals created with AI." line to the caption for other platforms, which you see before you approve. As the publisher, you remain responsible for any further disclosure your audience or the law requires.
9. Connected social accounts and publishing
When you connect Instagram, Facebook, Threads, TikTok or another platform, you authorise us to publish the posts you approve (or that autopilot approves) to those accounts, to send posts to your TikTok drafts as described in section 3, and to read their basic statistics. Connections are handled through our publishing partner bundle.social.
Each platform has its own rules, and you agree to follow them, including the Meta Platform Terms, Instagram Terms of Use, TikTok Terms of Service, TikTok's Music Usage Confirmation and, for branded posts, its Branded Content Policy.
Platforms can change their rules, limit reach, remove posts or disconnect apps at any time. We are not responsible for what a platform decides, for downtime on their side, or for how a post performs. You can disconnect an account at any time in Settings or on the platform.
10. Advertising, health and regulated businesses
You are responsible for making sure your posts follow the laws that apply to your business and your advertising, such as consumer-protection and truth-in-advertising rules (in the US, the FTC Act), professional and industry rules, and platform advertising policies.
- No fake reviews or testimonials. Don't publish testimonials, reviews or endorsements that aren't from real customers, or results you can't back up. Under the US FTC rule on consumer reviews, AI-generated testimonials are prohibited.
- Health care providers: don't enter patient information (protected health information under HIPAA or health data under other laws) into MuseMill. MuseMill is not designed to receive it, we are not your HIPAA business associate, and we do not sign business associate agreements. Only feature a patient (photo, story, quote or result) if you hold their written authorisation.
- Medical and other claims need proper evidence. MuseMill only uses facts you have confirmed in your brand profile for stats, offers and testimonials; keep those facts true and current.
11. Acceptable use
You must follow our Acceptable Use Policy. In short: nothing illegal, infringing, deceptive, hateful or harmful; no misuse of the Service, the free preview or our AI providers' systems.
If content in your account breaks these Terms or the law, we may hold or remove it, stop it from being published, or limit features, using automated checks and human review. We will tell you what we did and why (unless the law prevents us), and you can ask us to reconsider by writing to support@musemill.ai.
12. Our rights in MuseMill
MuseMill's software, design system, templates, brand and documentation belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Don't copy, resell or reverse engineer it, or use it to build a competing product.
If you send us ideas or feedback, we may use them freely without owing you anything.
13. Privacy and data protection
Our Privacy Policy explains how we handle personal data as a controller. When we process personal data in Your Content on your behalf (for example names or photos of your staff, customers or followers), we act as your processor under our Data Processing Addendum, which is part of these Terms. Our current sub-processors are listed here.
14. Confidentiality and security
We keep your non-public information confidential and only use it to provide the Service. We protect your data with appropriate technical and organisational measures, described in the DPA. Only people who need access to run the Service have it.
15. Other services
The Service relies on other companies (such as Stripe for payments, Google for AI, bundle.social for publishing, and the social platforms themselves). Their services are governed by their own terms. We choose them carefully but are not responsible for their acts or availability outside our control.
16. Our commitments and their limits
We will provide the Service with reasonable skill and care, in line with these Terms. Apart from that, and to the extent the law allows, the Service is provided "as is" and "as available". We don't promise it will be uninterrupted or error-free, that Output will be accurate or unique, or that posts will reach a particular audience or result.
17. Limits of liability
To the extent the law allows:
- Neither of us is liable for indirect or consequential losses, or for lost profits, revenue, business, goodwill or data that could have been avoided by keeping your own copies.
- Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or US$100 if that is higher.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, intent or gross negligence, or any other liability that cannot be limited by law.
18. Claims about your posts
You will defend and compensate us against third-party claims, fines and reasonable costs arising from Your Content, from posts you approved or published through autopilot, or from your breach of these Terms or the law, except to the extent the claim is caused by our breach.
19. Suspension and termination by us
We may suspend the Service, fully or in part, if you don't pay, if your use puts the Service, other customers or the public at risk, or if the law or a platform requires it. We will tell you first unless it is urgent, and restore it once the problem is fixed.
We may end your account for serious or repeated breaches of these Terms, after notice and a reasonable chance to fix the problem where that is possible. We may also stop offering the Service altogether with at least 60 days' notice and a refund of any prepaid unused period. In every case you keep the right to export your data (section 6).
20. Changes to these Terms
We may update these Terms. For material changes we will email you at least 30 days before they take effect; if you don't agree, you can cancel before then and the old terms apply until your paid period ends. Small changes (like fixing typos or describing new features) take effect when posted. The date at the top shows the current version.
21. Law and disputes
These Terms are governed by Romanian law, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before going to court, please write to us at support@musemill.ai and give us 30 days to try to resolve the matter. Any dispute that remains will be decided by the competent courts of Bucharest, Romania. Either of us may still seek urgent interim measures in any competent court.
22. Clauses you accept expressly
Under article 1203 of the Romanian Civil Code, some standard clauses only apply if you accept them expressly. When you sign up, you tick a separate box to accept these clauses specifically:
- Automatic renewal of your plan and conversion of the free trial into a paid plan (section 5).
- Our right to suspend the Service or end your account, and to change the Service or these Terms (sections 3, 19 and 20).
- The limits and exclusions of our liability (sections 16 and 17) and your obligation to cover claims about your posts (section 18).
- Romanian law and the courts of Bucharest (section 21).
23. General
These Terms, with the documents they link to, are the whole agreement between us about the Service. If a part is found invalid, the rest stays in force. Not enforcing a right straight away doesn't mean we give it up. Neither of us is responsible for delays caused by events beyond reasonable control. You may not transfer your account without our consent; we may transfer these Terms to a company that takes over MuseMill, and will tell you if we do.
You confirm you are not subject to trade sanctions that prohibit you from using the Service. We may give notices by email to your account address or in the Service; you can send notices to support@musemill.ai. These Terms are written in English; if we provide a translation, the English version prevails.
